3. Project Engagement

All projects are governed by a separate agreement such as:

• Statement of Work (SOW)
• Master Service Agreement (MSA)

Scope, timelines, and deliverables will be defined in writing before project initiation.

4. Payments & Billing

• Payments must be made as per agreed milestones.
• Late payments may result in project delays or suspension.
• All fees are non-refundable unless stated otherwise.

5. Intellectual Property

• Upon full payment, the Client will own the final deliverables unless otherwise agreed.
• NetSet Software retains the right to use non-confidential work for portfolio and marketing purposes.

6. Confidentiality

• Both parties agree to keep confidential information secure.
• Confidential data must not be disclosed without prior consent.

7. Revisions & Support

• Revisions are limited to the agreed scope.
• Additional changes may be billed separately.
• Ongoing support and maintenance require a separate agreement.

8. Third-Party Services

• We may integrate third-party tools or APIs.
• We are not responsible for third-party service failures or changes.

9. Limitation of Liability

NetSet Software is not liable for:

• Indirect or consequential damages
• Loss of profits, data, or business

Our total liability is limited to the amount paid for services.

10. Termination

• Either party may terminate the agreement with written notice.
• Client must pay for work completed up to the termination date.

11. Indemnification

The Client agrees to indemnify and hold harmless NetSet Software from any claims arising from misuse of services or deliverables.

12. Governing Law

These Terms are governed by the laws of India.

Any disputes shall be subject to jurisdiction of local courts.

13. Changes to Terms

• We reserve the right to update these Terms at any time.
• Continued use of services implies acceptance of revised Terms.
